Draft. This is a working draft of the Terms and Conditions. It will be replaced by the final version.

We are Venda LLC, doing business as Venda, a company registered in Florida. We operate the website https://venda.io (the “Site”), as well as any other related products and services (collectively, the “Services”) that refer or link to these legal terms (the “Legal Terms”).

Venda is a crypto-based peer-to-peer marketplace that enables collectors to buy, sell, and trade trading cards and collectibles directly with one another using cryptocurrency payments and wallet connections. Users access and authenticate to the Services by connecting their MetaMask wallet (or other compatible non-custodial wallets). Venda is not a custodian of any user funds, cryptocurrency, or physical collectibles.

You can contact us by email at privacy@venda.io or by mail to Venda, LLC dba: Venda.io, PMB 2049, 1000 Brickell Avenue, Ste 715, Miami, FL 33131, United States.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and Venda LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason.

Supplemental Terms. The following documents are Supplemental Terms incorporated into these Legal Terms by reference. You must accept the applicable document before using the Service it governs:

  • the Mystery Cards Buyer Terms, before your first purchase of a Sealed Card;
  • the Vault Terms, before your first purchase from the Vault;
  • the Store Program Agreement, before operating as a Store; and
  • the Schedule of Rates, published at venda.io/tarifas.

Where a Supplemental Term conflicts with these Legal Terms on a matter it expressly governs, the Supplemental Term prevails. Where a Country Annex applies to you, the Annex prevails over both.

Eligibility. The Services are not directed to, and may not be used by, anyone under the age of 18. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Legal Terms.

We recommend that you print a copy of these Legal Terms for your records.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

Venda provides a crypto-based peer-to-peer marketplace where users connect their MetaMask or other compatible non-custodial wallets to buy, sell, and trade directly with other users. Authentication is performed exclusively via wallet connection. Venda does not hold, manage, or have access to users’ private keys or funds.

2. Intellectual Property Rights

We own or are licensed to use all intellectual property rights in our Services, including, without limitation, all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”), as well as all trademarks, service marks, and logos displayed in the Services (the “Marks”). The Content and Marks are protected by copyright, trademark, and other intellectual property and unfair competition laws in the United States and internationally. The Content and Marks are provided through the Services “AS IS” for your personal, non-commercial use only. Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section, we grant you a limited, non-exclusive, non-transferable, revocable license to: access the Services; and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Except as expressly permitted in this section or elsewhere in these Legal Terms, no part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written consent. Requests for permission to use the Services, Content, or Marks beyond what is permitted here should be sent to privacy@venda.io. If permission is granted to post, reproduce, or publicly display any part of the Services or Content, you must clearly identify us as the owner or licensor and ensure that all copyright or proprietary notices remain visible. All rights not expressly granted to you are reserved. Any violation of these intellectual property rights constitutes a material breach of these Legal Terms and will result in the immediate termination of your right to use the Services.

Cards and third-party rights. Trading cards incorporate trademarks, characters, and artwork belonging to their respective owners. Venda is an independent platform and is not affiliated with, sponsored by, or endorsed by The Pokémon Company, Nintendo, Creatures Inc., GAME FREAK inc., or any other rights holder. Those marks are used only to identify genuine secondary-market merchandise.

Submissions If you send us any questions, comments, suggestions, ideas, feedback, or other information relating to the Services (collectively, “Submissions”), you agree to assign to us, irrevocably and without restriction, all intellectual property rights in such Submissions. We will own the Submissions and may use and distribute them for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. All Submissions shall be made on a non-confidential basis.

Responsibility for Your Submissions By submitting content through the Services, you represent and warrant that: your Submissions comply with these Legal Terms and the “Prohibited Activities” section and do not contain content that is illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, misleading, or otherwise objectionable; to the extent permitted by applicable law, you waive all moral rights in your Submissions; your Submissions are original to you, or you have all necessary rights and licenses to submit them and grant us the rights described above; and your Submissions do not contain confidential information.

You are solely responsible for your Submissions. You agree to indemnify and hold us harmless from any losses, damages, or claims arising out of your breach of this section, any third party’s intellectual property rights, or applicable law.

3. User Representations

By accessing or using the Services, you represent, warrant, acknowledge, and covenant, that:

  • Accuracy of Information. All registration, account, and other information you provide to us is and will remain true, accurate, current, and complete always, and you will promptly update such information as necessary to ensure its continued accuracy.
  • Authority and Capacity. You have the full legal capacity, power, and authority to enter into these Legal Terms and to comply with all obligations hereunder.
  • Age Eligibility. You are not a minor and are at least the age of majority in the jurisdiction in which you reside, and you are legally permitted to access and use the Services.
  • Prohibited Access Methods. You will not access, attempt to access, or use the Services through any automated, non-human, or programmatic means, including but not limited to bots, scripts, scrapers, crawlers, data-mining tools, or similar technologies, except with our prior express written consent.
  • Lawful Use Only. You will not use the Services for any unlawful, unauthorized, deceptive, fraudulent, abusive, or malicious purpose, nor in any manner that could damage, disable, overburden, interfere with, reverse engineer, or otherwise compromise the integrity, security, or proper functioning of the Services.
  • Compliance with Law. Your access to and use of the Services will always comply with all applicable federal, state, local, and international laws, regulations, and rules, including those applicable under Florida law.
  • No Circumvention. You will not attempt to circumvent, bypass, defeat, or interfere with any technical, contractual, or operational limitations or safeguards of the Services, including the opening restrictions in the Mystery Cards Buyer Terms.

To the maximum extent permitted under Florida law, and subject to Section 26, we reserve the sole, absolute, and continuing right, with or without notice, and without liability of any kind, to suspend, restrict, or terminate your account or access to the Services, in whole or in part; refuse or revoke any current or future use of the Services; and take any other action we deem appropriate.

4. Wallet Connection and Account Access

To access and use the Services, you are required to connect a compatible non-custodial cryptocurrency wallet such as MetaMask. By connecting your wallet, you authorize Venda to interact with your wallet address for the purpose of facilitating peer-to-peer transactions on the platform. Venda does not have access to your private keys, seed phrases, or the ability to initiate transactions without your explicit approval through your wallet.

You are solely responsible for maintaining the security of your wallet and all associated credentials. Venda shall not be liable for any loss resulting from unauthorized access to or use of your wallet. If you lose access to your wallet, you may lose access to your Venda account and any associated assets or data.

5. Products and Services

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Services. However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors. All products are subject to availability. Prices for all products are subject to change.

5A. Peer-to-Peer Marketplace and Crypto Transactions

Venda operates a peer-to-peer (P2P) marketplace that allows collectors to buy, sell, and trade trading cards and collectibles directly with other users. Transactions may involve cryptocurrency payments and wallet connections (including MetaMask).

Venda is not a custodian, escrow agent, broker, or financial intermediary. We do not hold, control, or take possession of any user cryptocurrency, wallet funds, or collectibles. Users retain full control and responsibility for their own wallets, private keys, and assets always.

Venda may charge marketplace fees for facilitating transactions through the Services. Applicable fees are described in Section 6 (Purchases and Payment).

By using the P2P marketplace or connecting your MetaMask (or any other compatible non-custodial wallet), you acknowledge and agree that: all P2P transactions occur directly between you and the other user; Venda is not a party to any sale agreement between users and has no control over, or liability for, the delivery of items, transfer of cryptocurrency, or fulfillment of any trade; you are solely responsible for performing your own due diligence (“DYOR”), verifying the authenticity, condition, and value of any collectible, and evaluating the trustworthiness of the counterparty; you bear all risks associated with wallet security, private key management, blockchain transaction failures, gas fees, smart-contract vulnerabilities, price volatility, and any loss of funds or collectibles; and Venda makes no representations or guarantees regarding the success, legality, or outcome of any P2P transaction.

You agree that Venda shall have no liability whatsoever for any loss, delay, dispute, or failure arising from or related to any P2P transaction, wallet connection, or crypto transfer. All such risks are borne entirely by you.

This Section applies to transactions between users. It does not apply to a transaction in which Venda expressly identifies itself as the seller, and it does not limit any right you have under a Supplemental Term or under consumer law that cannot be waived.

6. Purchases and Payment

6.1 Automatic Renewal and Continuous Service: If you purchase a subscription or any plan that automatically renews or continues until you cancel (“Subscription”), you authorize us (and our payment processors) to charge the applicable recurring fees, taxes, and any other charges you approve, using your selected payment method, at the frequency and amount disclosed at checkout (or as otherwise clearly disclosed to you).

6.2 Disclosures at Checkout and Affirmative Consent: Before you complete your purchase, we will present the material Subscription terms (including price, billing interval, whether the plan auto-renews/continues, and how to cancel). By completing the purchase, you provide affirmative express consent to the Subscription terms and recurring charges. We will provide a confirmation that includes the Subscription terms and how to cancel.

6.3 Free Trials and Promotional Pricing: If you enroll in a free trial, discounted period, or promotional pricing that converts to a paid Subscription, we will disclose (before you enroll) the length of the trial/promo, the price that will be charged when it ends, and how to cancel before charges begin. Unless you cancel before the trial/promo ends, you authorize us to begin charging your payment method at the disclosed rate when the trial/promo ends.

6.4 How to Cancel: You may cancel a Subscription at any time through your account settings/dashboard or by contacting support at privacy@venda.io. Cancellation becomes effective at the end of your then-current billing period unless otherwise disclosed.

6.5 Refunds and Proration: Unless required by law or expressly stated at checkout, Subscription fees are non-refundable and we do not provide prorated refunds for partial billing periods.

6.6 Marketplace Fees: Venda may charge marketplace fees, transaction fees, listing fees, service fees, processing fees, subscription fees, convenience fees, or other fees in connection with the use of the Services. Applicable fees will be disclosed on the Services before a transaction is completed. By initiating, accepting, or completing a transaction through the Services, you authorize Venda to collect the applicable fees. No fee is payable that was not disclosed to you before you confirmed the transaction. Venda may modify its fee schedule, and any changes will apply prospectively only and will be disclosed through the Services before such fees are incurred. The fees in force at any time are those set out in the Schedule of Rates. You are solely responsible for any blockchain network fees, gas fees, taxes, duties, shipping charges, insurance costs, or other third-party costs associated with a transaction. In addition to traditional payment methods, certain features allow cryptocurrency payments via user-connected non-custodial wallets (including MetaMask). Venda does not custody, store, or control any cryptocurrency. All crypto transfers occur directly on the blockchain between users. Venda has no ability to reverse, cancel, or recover any on-chain crypto transaction.

7. Return/Refunds Policy

7.1 Marketplace sales: A sale between users is final once settled on-chain, except where the seller agrees otherwise or where applicable consumer law provides otherwise.

7.2 Program purchases: Refunds in Mystery Cards and in the Vault are governed by the Mystery Cards Buyer Terms and the Vault Terms respectively. Those documents give you a right to a full refund in defined circumstances, including where no Card is delivered, where a Card is not authentic, and where a Card is worth less than the Guaranteed Minimum Value published for it. Nothing in this Section limits those rights.

7.3 Form of refund: A refund is made by the means of payment you used, unless you agree otherwise. We do not substitute credit for a refund you are entitled to.

7.4 Other refunds: Any refund not required by law and not provided for in a Supplemental Term is at our sole discretion.

7.5 Non-waivable rights: Nothing in this Section limits any right to cancel, return, or obtain a refund that the consumer law of your country does not permit to be waived.

8. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to: systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us; trick, defraud, or mislead us and other users; circumvent, disable, or otherwise interfere with security-related features of the Services; disparage, tarnish, or otherwise harm us and/or the Services; use any information obtained from the Services to harass, abuse, or harm another person; make improper use of our support services or submit false reports of abuse; use the Services in a manner inconsistent with any applicable laws or regulations; engage in unauthorized framing of or linking to the Services; upload or transmit viruses, Trojan horses, or other harmful material; engage in any automated use of the system; delete the copyright or other proprietary rights notice from any Content; attempt to impersonate another user; interfere with, disrupt, or create an undue burden on the Services; harass, annoy, intimidate, or threaten any of our employees or agents; attempt to bypass any measures designed to prevent or restrict access to the Services; copy or adapt the Services’ software; decipher, decompile, disassemble, or reverse engineer any of the software; use a buying agent or purchasing agent to make purchases on the Services; make any unauthorized use of the Services; or use the Services as part of any effort to compete with us.

You also may not: sell counterfeit or altered Cards; operate multiple accounts; manipulate prices or simulate transactions; bid on or purchase your own listings; arrange sales off the Services with counterparties met on it in order to avoid fees; or use the Services for money laundering or any other unlawful activity.

9. User Generated Contributions

The Services may allow users to submit or post content. When you create or make available any Contributions, you represent and warrant that your Contributions do not infringe any third-party rights, are not false or misleading, are not obscene or harassing, and do not violate any applicable law. Any use of the Services in violation of the foregoing may result in termination of your rights to use the Services.

10. Contribution License

By uploading, posting, submitting, transmitting, sharing, or otherwise making available any content, information, data, materials, images, photographs, videos, descriptions, listings, metadata, transaction information, communications, feedback, or other content through the Services (collectively, “Contributions”), you retain ownership of your Contributions and you grant Venda a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to use, reproduce, adapt, publish, translate, display, and distribute them for the purpose of operating, improving, and promoting the Services, for as long as they are published and for a reasonable period afterwards for record-keeping and dispute resolution.

You acknowledge that Contributions forming part of a listing or a transaction record are retained by Venda and may be used to resolve a dispute.

Venda owns the platform-generated data it derives from activity on the Services, including aggregated analytics and market data, provided that such data does not identify you.

You waive, to the fullest extent permitted by law, any moral rights, rights of attribution, or rights of integrity in any Contribution, to the extent necessary for Venda to exercise the licence above.

11. Social Media

As part of the functionality of the Services, you may link your account with third-party accounts (such as social media). You represent that you are entitled to grant us access. Your relationship with those third-party providers is governed solely by your agreement with them. We are not responsible for any content from third-party accounts.

12. Third-Party Websites and Content

The Services may contain links to third-party websites or content. We are not responsible for such third-party websites or content. Any interaction with them is at your own risk.

13. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations, take legal action against violators, refuse or restrict access, and otherwise manage the Services to protect our rights and ensure proper functioning.

Account Freeze. We may apply an Account Freeze — temporarily preventing you from listing, buying, selling, making offers, or opening Sealed Cards — where there are debts under these Legal Terms, objective indications of fraud, a security risk, impersonation, breach, or a request from an authority. We will state the reason unless legally prohibited and will lift the Freeze once the cause no longer exists. An Account Freeze never affects ownership of your Cards and never prevents you from recovering a Card you own.

15. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to the Services or terminate your account at any time in our sole discretion for any reason, including breach of these Legal Terms. If we terminate your account, you are prohibited from registering again under your name or any fake name.

You may close your account at any time. If there are pending transactions, Cards in our custody, or debts, we will provide a reasonable mechanism to complete them before closure. Termination does not affect your ownership of any Card.

16. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice. We will not be liable for any modification, suspension, or discontinuance of the Services.

Changes to these Legal Terms. We may modify these Legal Terms for future transactions. Material changes will be notified by email or on the Services at least 15 days in advance and, where appropriate, we will ask you to accept them again. Changes do not affect completed transactions, a Drop already on sale, or a Card already yours. Changes to the Schedule of Rates are governed by Section 6.6 and are not changes to these Legal Terms.

17. Governing Law

These Legal Terms and any dispute arising out of or relating to them are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the Dispute Resolution section — in each case subject to Section 18.10 and to any Country Annex that applies to you.

18. Dispute Resolution

This Section affects your legal rights. By using the Services, you and Venda agree to the following dispute resolution process.

18.1 Agreement to Arbitrate: You and Venda agree that any past, present, or future claims, disputes, or causes of action arising out of or relating to these Legal Terms, the Privacy Policy, the Services, or your relationship with Venda (collectively, “Claims”) will be resolved exclusively through binding arbitration or, where applicable, in small claims court. This agreement is governed by the Federal Arbitration Act. There is no judge or jury in arbitration.

18.2 Right to Opt Out: You may opt out of this arbitration agreement within thirty (30) days of first becoming bound by these Legal Terms by emailing privacy@venda.io with your full name, mailing address, phone number, and a clear statement that you opt out. If you do not opt out timely, you agree to arbitrate all Claims.

18.3 Informal Resolution: Before arbitration or court proceedings, you and Venda agree to attempt informal resolution in good faith. You must first send a written Notice of Dispute to Venda LLC, dba: Venda.io, PMB 2049, 1000 Brickell Avenue, Ste 715, Miami, FL 33131, United States. Arbitration or litigation may not begin until 30 days after we receive the Notice (unless resolved earlier).

18.4 Arbitration or Small Claims: If informal resolution fails, Claims will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Rules if applicable). Arbitration will be conducted by a single arbitrator. Either party may elect small claims court for qualifying Claims instead of arbitration, provided the election is made before an arbitrator is appointed.

18.5 Class Action and Jury Trial Waiver: YOU AND VENDA AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. You waive any right to bring or participate in a class action, collective action, private attorney general action, or representative proceeding. You also fully waive any right to a jury trial permitted by law. If any part of this waiver is unenforceable as to a specific Claim, that Claim will proceed in court, not arbitration.

18.6 Location and Governing Law: Arbitration will take place in Miami, Florida (or another mutually agreed location). These Legal Terms are governed by Florida law (without regard to conflict of laws principles), except that the Federal Arbitration Act governs this Section 18.

18.7 Fees and Costs: Venda will pay arbitration filing, administrative, and arbitrator fees as required by AAA Consumer Rules, unless the arbitrator determines the Claim is frivolous or brought in bad faith. Each party bears its own attorneys’ fees unless otherwise required by law or awarded by the arbitrator.

18.8 Survival: This Section 18 survives termination of your account or these Legal Terms.

18.9 One-Year Limitation: To the fullest extent permitted by law, any Claim must be commenced within one (1) year after it accrues, unless a longer period is required by applicable law.

18.10 Non-waivable consumer rights: Nothing in this Section deprives you of any right granted by the consumer law of your country of residence that cannot be waived. Where such a right conflicts with Sections 18.1 to 18.9, the local provision prevails and the conflicting provision does not apply to you. For consumers resident in Mexico, see Annex MX, under which arbitration is elective and is not agreed in advance.

19. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions in the Services at any time without prior notice. A correction never changes a Card already assigned to you, an Opening already made, or a Drop already on sale.

20. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDA DISCLAIMS ALL WARRANTIES. Because Venda is a peer-to-peer crypto platform, we expressly disclaim any responsibility for the success or completion of any user-to-user transaction. We do not guarantee that any trade will be completed or that items or cryptocurrency will be delivered. We do not guarantee that any Card will hold or increase in value; Cards are collectibles whose value may rise, fall, or disappear. You must do your own research (DYOR) before entering any transaction.

This Section does not apply to a transaction in which Venda is the seller, and does not limit any warranty or right that applicable consumer law does not permit to be excluded.

21. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDA’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO VENDA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD 1,000. VENDA SHALL HAVE NO LIABILITY FOR ANY LOSS OF CRYPTOCURRENCY, FAILURE OF ANY P2P TRANSACTION, OR DAMAGES ARISING FROM WALLET CONNECTION OR BLOCKCHAIN TRANSACTIONS.

21.1 While a Card is in Venda’s custody under a Supplemental Term, Venda is liable for its loss or damage up to its Market Value on the date of the incident, and this Section does not limit that liability.

21.2 Nothing in this Section limits liability for wilful misconduct or gross negligence, or any liability that applicable consumer law does not permit to be limited.

22. Indemnification

You agree to defend, indemnify, and hold harmless Venda and its affiliates from any claims arising out of your use of the Services, your breach of these Legal Terms, or any P2P transaction you enter into — except where the claim arises from Venda’s own wilful misconduct or gross negligence.

23. User Data

We may collect and maintain certain data you transmit through the Services. You are responsible for maintaining independent backups of your data.

24. Electronic Communications, Transactions, and Signatures

You consent to receive communications electronically and agree that electronic records have the same legal effect as paper records. Promotional communications require separate consent and may be cancelled at any time. We record the version of these Legal Terms you accepted, the registered email, the date and time, and the IP address.

25. SMS Text Messaging

By opting into SMS, you consent to receive messages. You may opt out by replying STOP.

26. Consumers in Specific Jurisdictions

California residents may contact the Complaint Assistance Unit of the Division of Consumer Services as described by law.

Consumers resident in the United Mexican States: see Annex MX, which prevails over these Legal Terms to the extent of any conflict. A Country Annex will be published for each additional country in which Venda offers the Services, and no Annex other than those published forms part of these Legal Terms.

27. Miscellaneous

These Legal Terms, together with the Supplemental Terms and any applicable Country Annex, constitute the entire agreement. If any provision is held invalid, the remainder remains enforceable. Venda may assign these Legal Terms. You may not assign without our consent.

Account Freeze — a measure by which Venda temporarily prevents a user from listing, buying, selling, making offers, or opening Sealed Cards, without affecting ownership of that user’s Cards.

Card — an individual physical collectible card, identified by game, set, number, edition, and language and, where graded, by grading company, grade, and certification number.

Digital Dollars — stablecoins pegged to the United States dollar, such as USDC, that the Services accept.

Drop — a set of individual Cards placed by a Store in a fixed order and offered together as Sealed Cards.

Fingerprint — the cryptographic commitment to a Lineup, published before the first sale of a Drop.

Guaranteed Minimum Value — the minimum value, published for a Drop or a Vault Tier before purchase, that every Card in it is worth at the date of Opening.

Key — the information published when every Sealed Card in a Drop has been opened, which allows any person to verify the Lineup against the Fingerprint.

Lineup — the fixed order of the Cards in a Drop, set before the first sale and incapable of alteration afterwards.

Market Value — the median of completed sales of the same Card, at the same grade where graded or the same stated condition where ungraded, over the trailing 90 days, from the sources published on the Services. A valuation requires a minimum of five completed comparable sales; if fewer exist, the Card has no Market Value. The Market Value may not exceed 110% of the trailing 12-month median, has no floor, excludes sales between related or commonly controlled accounts, and is archived with its timestamp, window, comparable count, and sources. This definition changes only by a change to these Legal Terms. It is not part of the Schedule of Rates.

Opening — the disclosure to a buyer of the identity of the Card they have purchased.

Programs — Mystery Cards and the Vault.

Schedule of Rates — the document published at venda.io/tarifas setting out the fees Venda charges and the rates that apply to the Vault.

Sealed Card — one individual Card, graded or ungraded, offered for sale by a Store under Mystery Cards as a numbered position in a Lineup, before its identity is disclosed to the buyer. A Sealed Card is one Card and is not Sealed Product.

Sealed Product — manufacturer-sealed product, including booster packs, booster boxes, Elite Trainer Boxes, tins, and bundles. Sealed Product may not be listed or sold on the Services and may not be placed in a Drop.

Store — a user verified by Venda and admitted to the Store Program.

Annex MX — Mexico

This Annex applies to any user resident in the United Mexican States and prevails over these Legal Terms to the extent of any conflict.

MX.1 Public order: Mexican consumer protection law, including the Ley Federal de Protección al Consumidor (“LFPC”), is of public order and applies notwithstanding Section 17. Where a provision of these Legal Terms conflicts with a right that Mexican law does not permit to be waived, the Mexican provision prevails, the conflicting provision does not apply to you, and the remainder stays in force.

MX.2 Forum, at the consumer’s election: After a dispute has arisen, a Mexican consumer may choose, at their sole option: (i) conciliation before the Procuraduría Federal del Consumidor (PROFECO); (ii) the competent courts of their place of domicile in Mexico; or (iii) the arbitration in Section 18. The arbitration in Section 18 is not mandatory for Mexican consumers, and nothing in these Legal Terms operates as a waiver of (i) or (ii) agreed before the dispute arose. Venda submits to PROFECO’s conciliation jurisdiction and will attend when summoned.

MX.3 Collective actions: Section 18.5 does not restrict any collective action available under Mexican law.

MX.4 Limitation period: Section 18.9 does not shorten any limitation period that Mexican law provides.

MX.5 Controlling language: For Mexican consumers the Spanish version of these Legal Terms governs. Any other language version is a translation provided for convenience.

MX.6 Prices: Prices and charges displayed to Mexican consumers include all applicable taxes, and no charge is payable that was not displayed before you confirmed the transaction.

MX.7 Void clauses: Venda will not invoke against a Mexican consumer any clause that Mexican consumer law treats as void or abusive in an adhesion contract, whether or not it appears in these Legal Terms.

MX.8 Complaints: A Mexican consumer may contact Venda at [MX contact] and may in any event file a complaint with PROFECO.
